• Global scope: Work across continents, in an international organization with entities in over 27 countries across the globe. 

• Corporate Governance & Entity Management; Support the Legal Department in maintaining strong corporate governance and corporate housekeeping across multiple legal entities, ensuring compliance and operational efficiency. 

• Strategic Projects & M&A Support;  Collaborate with cross-functional teams, external advisors, and senior leadership on mergers, acquisitions, and other strategic corporate initiatives and investments.  

Make a difference as Senior Legal Counsel 

As a Senior Legal Counsel, you’ll be responsible to: 

• Manage and coordinate corporate housekeeping for group entities; 

• Support corporate governance matters, including preparation of board and shareholder resolutions, governance documentation, and compliance with internal policies and local regulations; 

• Assist with M&A transactions, joint ventures, and other strategic corporate projects, including due diligence, transaction documentation, and post-closing integration; 

• Draft, review, and negotiate a variety of corporate and inter company agreements; 

• Contribute to process improvements, templates, and knowledge management within the Legal Department. 

Your team and workplace 

You will report to the Global Manager Compliance & Corporate Affairs and collaborate with senior managers (up to Board level), and international colleagues across departments. You’ll also coordinate with external consultants and legal experts. The role is based in Enkhuizen, with occasional international travel. 

What you bring as a future colleague 

• Master’s degree in Dutch Law (civil/corporate specialization) or equivalent international education; 

• 8+ years of relevant legal experience, preferably in an international context; 

• Strong knowledge of corporate law; 

• Experience with strategic legal thinking and independent portfolio management. 

• Excellent communication and negotiation skills; 

• Ability to work under pressure and manage complex legal challenges; 

• Proactive mindset and a collaborative approach to problem-solving.
